Terms of Service & Confidentiality Agreement

By accessing or using the ConflideX platform ("Service"), you ("User" or "Client") agree to the following terms, which constitute a binding agreement and mutual confidentiality undertaking between you and ConflideX (operated by Zoompetro LLC).
1. Service Description
ConflideX provides AI-powered contract conflict detection and document analysis services for M&A due diligence and legal review purposes.
The Service processes documents using large language models accessed via third-party AI processing infrastructure. Analysis results are delivered to users by email, either as a direct attachment or, for larger reports, via an encrypted single-use download link.
Users cannot interact with, prompt, or instruct the underlying AI models. ConflideX runs a fixed, automated analysis pipeline — uploaded documents are processed by predetermined extraction and analysis routines only. There is no free-text or conversational interface to the AI at any point.
2. Data Handling and Privacy
ConflideX's own systems retain no document content. Uploaded contracts are processed in-memory and are never written to persistent storage by ConflideX — they exist only in RAM for the duration of analysis and are discarded the moment it ends. We do not use customer documents to train any models, and we do not log document content on our own infrastructure.
AI-assisted analysis is performed via Google Cloud Vertex AI, which is subject to Google Cloud's standard data handling and processing terms, including temporary retention for automated abuse and safety monitoring. ConflideX has applied for Google's limited-retention exception for this use case, given the confidential and often privileged nature of the documents processed. Submitted content is never used by our AI provider to train models. Current data-handling documentation is available on request.
- Input documents are held in RAM only for the duration of analysis and are not written to persistent storage by ConflideX; they are discarded immediately after analysis.
- Most analysis result reports are emailed directly as attachments and are never stored. Larger reports are encrypted at rest (AES-256-GCM) and delivered via a single-use, time-limited download link that expires automatically, after which they are deleted.
- ConflideX does not log document content on its own infrastructure. Google Cloud Vertex AI's standard retention (described above) applies to content sent for analysis unless and until the limited-retention exception is granted.
3. Confidentiality (NDA)
All information, documents, and data submitted by the User are treated as strictly confidential.
ConflideX agrees to:
- Not access or review User documents beyond automated processing
- Not reuse, repurpose, or analyze User data for any secondary purpose
- Not disclose, sell, share, or transfer User data to any third party except the subprocessors listed in Section 10
- Not use User data for AI model training
All submitted materials remain the exclusive intellectual property of the User.
This confidentiality obligation survives termination of Service use.
4. Disclaimer: Not Legal Advice
The Service provides informational and analytical assistance only.

- ConflideX does not guarantee identification of all contract conflicts
- Users should verify all findings with appropriate legal counsel before relying on them
5. Limitation of Liability
The Service is provided "as is" without warranties of completeness, accuracy, or fitness for a particular purpose.
- User is solely responsible for content submitted
- User is solely responsible for decisions made based on Service output
- Maximum aggregate liability is limited to fees paid to ConflideX in the prior 12 months
- ConflideX shall not be liable for any indirect, incidental, special, or consequential damages
6. User Responsibilities
By using the Service, User agrees to:
- Use the Service only for lawful purposes
- Not submit content that violates applicable laws or third-party rights
- Maintain appropriate backups of submitted documents
- Verify all outputs with qualified legal professionals before acting on them
7. Payments and Refunds
Payments are processed via Stripe. Analysis credits are consumed upon successful delivery of results. ConflideX does not offer refunds for completed analyses. In the event of a processing failure attributable to ConflideX, a replacement analysis or credit will be offered at ConflideX's discretion.
8. Acceptable Use
The Service may be used solely for legitimate legal and business document analysis. Users may not upload content that is unlawful, infringes third-party rights, or falls within prohibited content categories under applicable AI provider policies (including Google's Generative AI Prohibited Use Policy, which is incorporated by reference). ConflideX restricts uploads to document formats (PDF, DOCX, TXT), requires authenticated accounts, and reserves the right to suspend or terminate any account used in violation of this section.
9. Termination
Either party may terminate use of the Service at any time.
Confidentiality obligations (Section 3) survive termination indefinitely.
10. Modifications
ConflideX may update these terms from time to time. Continued use of the Service after notice of changes constitutes acceptance of the revised terms. Users will be prompted to accept updated terms before their next analysis.
11. Subprocessors
ConflideX uses the following infrastructure providers in delivery of the Service:
- Railway — hosting and infrastructure
- Google Cloud Vertex AI — AI model processing

12. Acceptance
By using the Service, User confirms:
- Acceptance of these terms in full
- Acknowledgment of the mutual confidentiality agreement
- Understanding that this constitutes a binding legal agreement
