Terms of Service & Confidentiality Agreement

1. Service Description

Conflidex provides AI-powered contract conflict detection and document analysis services for M&A due diligence and legal review purposes.

The Service utilizes advanced AI models accessed via secure zero-retention API infrastructure.

2. Zero-Retention Data Architecture

We can't leak what we don't store.

• Conflidex operates on a zero-retention architecture
• No documents, text, or analysis results are stored, saved, logged, or retained
• All content is processed in real-time and exists only for the duration of the active session
• Once your analysis is complete, input data is immediately and permanently discarded
• All third-party AI providers are configured with data retention explicitly disabled

Technical documentation of our zero-storage architecture is available upon request for security review.

3. Confidentiality (NDA)

All information, documents, and data submitted by the User are treated as strictly confidential.

Conflidex agrees to:

• NOT review, access, or read User documents beyond automated processing
• NOT reuse, repurpose, or analyze User data for any secondary purpose
• NOT disclose, sell, share, or transfer User data to any third party
• NOT use User data for AI model training

All submitted materials remain the exclusive intellectual property of the User.

This confidentiality obligation survives termination of Service use.

4. Third-Party Infrastructure

The Service utilizes enterprise-grade AI models via secure API connections.

• All API requests are made with data retention disabled
• Third-party providers are contractually configured to not store, log, or train on User data
• Zero data persistence across the entire processing pipeline

Users should not submit information they are legally prohibited from sharing.

5. Disclaimer: Not Legal Advice

The Service provides informational and analytical assistance only.

• Outputs do NOT constitute legal advice
• Results should NOT replace review by a qualified attorney
• Conflidex does NOT guarantee identification of all contract conflicts
• Users should always verify findings with appropriate legal counsel

6. Limitation of Liability

The Service is provided "as is" without warranties of completeness, accuracy, or fitness for a particular purpose.

• User is solely responsible for content submitted
• User is solely responsible for decisions made based on Service output
• Maximum liability is limited to fees paid to Conflidex in the prior 12 months
• Conflidex shall not be liable for any indirect, incidental, special, or consequential damages

7. User Responsibilities

By using the Service, User agrees to:

• Use the Service only for lawful purposes
• Not submit content that violates applicable laws or third-party rights
• Maintain appropriate backups of submitted documents
• Verify all outputs with qualified legal professionals

8. Termination

Either party may terminate use of the Service at any time.

Confidentiality obligations (Section 3) survive termination indefinitely.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of CA(California).

10. Acceptance

By using the Service, User confirms:

• Acceptance of these terms in full
• Acknowledgment of the mutual confidentiality agreement
• Understanding that this constitutes a binding legal agreement
